Valuation

A value that withstands challenge.

Valuing a business, a shareholding or a loss means producing a figure that will be contested — by a counterparty, by a judge or by the tax authorities. Our Valuation department builds documented, defensible conclusions.

What is at stake

Value is not price.

Price comes out of a negotiation; value comes out of a method. Confusing the two exposes you to symmetrical risks: selling below what the business is worth, or paying more for an acquisition than it will ever return. Independent valuation exists precisely to make the debate objective before it begins.

Our work applies several approaches — asset-based, cash flow and market comparables — whose results are compared and then weighted. Assumptions are made explicit, sources are traced, and differences between methods are explained. That traceability is what allows a report to hold up against an opposing analysis.

Our services

Four valuation contexts.

Business

Business and share valuation

Establishing what a business or a shareholding is worth, ahead of a shareholder decision or a transaction.

  • Valuation of the business and its shares
  • Asset-based, cash flow and market comparable approaches
  • Minority stakes and applicable discounts
  • Valuation ahead of a sale or succession
  • Valuation under a shareholders' agreement
Transactions

Fairness opinions and acquisition audits

Securing a transaction by testing whether the proposed price and the underlying assumptions survive scrutiny.

  • Fairness opinions
  • Acquisition audit and financial due diligence
  • Critical review of business plan assumptions
  • Analysis of price mechanisms and warranty provisions
  • Technical support during negotiation
Damages

Quantification of damages

Quantifying economic loss on a documented basis, acting as a party-appointed expert.

  • Quantification of economic and financial loss
  • Lost margin, loss of opportunity, foregone profit
  • Abrupt termination of established commercial relationships
  • Counter-quantification against an opposing analysis
  • Acting as a party-appointed expert
Shareholder disputes

Valuation in contentious matters

Establishing a value when shareholders no longer agree, under the articles or the shareholders' agreement.

  • Share valuation on withdrawal or exclusion
  • Valuation under the articles or a shareholders' agreement
  • Analysis of flows between shareholders and their regularity
  • Technical support to the party's advisers

Methods

The approaches we apply.

No single method stands alone. Comparing them, and explaining the differences that comparison reveals, is where the value of a valuation report actually lies.

  • Adjusted net asset value
  • Discounted cash flow
  • Listed comparable company multiples
  • Comparable transaction multiples
  • Goodwill annuity method
  • Dividend-based approach
  • Earnings value and productivity value

How it runs

How a valuation is built.

01

Scoping

Definition of what is being valued, the valuation date, the context and the recipients of the report. These parameters drive the choice of methods.

02

Fieldwork

Analysis and normalisation of historical accounts, critical review of the business plan, interviews with management, collection of market data.

03

Application

Several approaches are applied, sensitivities are tested on the key assumptions, and the results are compared and then weighted.

04

Reporting

A report setting out the approach, the assumptions and the limitations of the work. Oral presentation and, where needed, defence of the conclusions.
